1. Agreement to Terms
By accessing or using the website at vevangconsulting.com (the “Site”) or engaging the consulting services of Vevang Consulting (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Site or our services.
2. Services Overview
Vevang Consulting provides fractional AI executive services, including AI strategy, business operations optimization, and exit advisory for growth-stage businesses. Specific service terms, deliverables, pricing, and engagement scope are defined in separate written agreements (e.g., consulting agreements, statements of work) executed between you and Vevang Consulting.
These Terms of Service govern your use of the Site and general relationship with Vevang Consulting. In the event of a conflict between these Terms and a signed consulting agreement, the consulting agreement shall prevail.
3. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable law or regulation
- Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to it
- Use any automated system, including bots or scrapers, to access the Site for any purpose without our express written permission
- Introduce any viruses, malware, or other harmful material
- Impersonate or attempt to impersonate Vevang Consulting, an employee, or another user
4. Intellectual Property
Site content: All content on the Site — including text, graphics, logos, design elements, and code — is the property of Vevang Consulting and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
Consulting deliverables: Ownership of work product created during consulting engagements is governed by the applicable consulting agreement. Unless otherwise specified in a signed agreement, all work product delivered under a consulting engagement becomes the property of the client upon full payment.
5. Discovery Calls and Scheduling
Discovery calls are offered free of charge and are intended as an initial conversation to determine mutual fit. Scheduling a discovery call does not create a consulting relationship or any obligation on either party. We reserve the right to decline any engagement at our discretion.
6. Payment Terms
Payment terms for consulting services are defined in the applicable consulting agreement. General terms include:
- All fees are paid in advance of each service period unless otherwise agreed in writing
- Payments are non-refundable unless otherwise specified in the consulting agreement
- Late payments may be subject to a fee of 1.5% per month or the maximum rate permitted by law, whichever is less
- We reserve the right to suspend services for non-payment
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of any engagement. Specific confidentiality obligations are governed by a Mutual Non-Disclosure Agreement executed prior to the commencement of substantive discussions.
8. Limitation of Liability
To the fullest extent permitted by law, Vevang Consulting and its founder, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, including but not limited to loss of revenue, profits, business, data, or goodwill.
Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you to Vevang Consulting in the twelve (12) months immediately preceding the event giving rise to the claim.
9. Disclaimer of Warranties
The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Consulting services are provided on a best-efforts basis. While we strive to deliver meaningful results, we do not guarantee specific business outcomes, revenue increases, valuation improvements, or successful transactions. Past performance and prior exits are not guarantees of future results.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vevang Consulting, its founder, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with your violation of these Terms, your use of the Site, or your breach of any consulting agreement.
11. Termination
We reserve the right to terminate or suspend your access to the Site at any time, without notice, for any reason. Termination of consulting services is governed by the applicable consulting agreement.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Bonner County, Idaho.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with any applicable consulting agreements and our Privacy Policy, constitute the entire agreement between you and Vevang Consulting regarding the subject matter hereof.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the updated Terms.
